Introduction
Welcome to Backrow. These Terms of Service ("Terms") govern your access to and use of our educational platform, including the website, mobile applications, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Purpose of the Service. Backrow is built to support and empower students. Every feature (transcription, note generation, study materials, writing tools, AI tutoring, integrations) is provided to help you organise your coursework, deepen your understanding, and study more effectively. The Service is intended for your educational benefit.
How responsibility is allocated. Because Backrow provides general purpose tools that can be used in many ways across many institutions, you (not Backrow) are responsible for how you choose to use those tools and for any consequences of your choices. Backrow is not responsible for any user's decision to use the Service in a manner that violates their school's policies, applicable law, or these Terms. The sections that follow describe this allocation in detail, including disclaimers (Section 8), limitation of liability (Section 9), and your indemnification obligations (Section 10).
What Backrow does
Backrow is a productivity platform for students. It uses artificial intelligence to:
- Transcribe lectures and meetings into searchable text
- Generate notes, summaries, study guides, flashcards, quizzes, and mind maps from your materials
- Draft essays, paraphrases, discussion board responses, lab reports, and other written work
- Rewrite AI generated text in a style closer to your own writing voice
- Explain difficult concepts, work through practice problems, and answer subject matter questions
- Connect to your school's calendar, drive, and email for personalised assistance
You are solely responsible for how you use Backrow's output, including ensuring that any use complies with your school's AI use policy, academic integrity rules, recording laws, and copyright requirements. Backrow provides tools; your school decides what's permitted in your classes. See Section 3 below.
Important: If you are resident in the United States, these Terms include a binding arbitration agreement and class action waiver in Section 12 — please read them carefully. Consumers elsewhere are not bound by either; Section 12.5 preserves your local courts and rights.
1. Acceptance of Terms
By creating an account or using the Service, you affirm that:
- You are at least 13 years of age
- The date of birth you give us is accurate
- You have the legal capacity to enter into binding agreements, or a parent or guardian has agreed to these Terms on your behalf
- If you are under 18, you have your parent or guardian's permission to use the Service
- You will comply with all applicable laws and regulations
- All information you provide is accurate and truthful
1.1 Minimum age
The Service is not available to anyone under 13. We ask for your date of birth at sign up. If we find that an account belongs to someone under 13, we close it and delete its content.
1.2 Users under 18
If you are between 13 and 18 you may use the whole Service, including audio recording. We do not ask for a parent or guardian's email address and we do not send one a consent request — but you are telling us, by using the Service, that you have their permission. Two things stay off and cannot be switched on: analytics and session replay, and marketing email.
Recording sends your audio to a transcription service that analyses the characteristics of your voice, which can be biometric data. By recording, you consent to that yourself.
For parents and guardians: we do not email you for consent, so if someone under 18 is using Backrow, you will not hear from us about it. What they can do is described in Section 6 of the Privacy Policy — principally audio recording, which can involve biometric voice data. If you would rather they did not, write to privacy@backrow.ai and we will close the account and delete its content.
Some countries set a higher digital age of consent than 13 — up to 16 under Article 8 GDPR. Where your local law sets a higher age, that age applies to you.
2. Account Registration & Security
2.1 Account creation
- You must provide accurate and complete registration information
- You are responsible for maintaining the confidentiality of your password
- You may not share your account or allow others to access it
- One account per person (no multiple accounts without permission)
2.2 Account security
- You are responsible for all activities under your account
- Notify us immediately of any unauthorized access
- Use a strong, unique password
- Enable two factor authentication when available
2.3 Account termination
We may suspend or terminate accounts on the grounds and by the process set out in Section 11.
2a. Your Responsibility for Your Use of Backrow
This section states plainly what you are responsible for. It does not create new obligations beyond those elsewhere in these Terms; it collects them in one place so there is no doubt about where responsibility sits.
2a.1 You are responsible for what you do with the Service
Backrow provides general purpose tools. It does not decide, and cannot know, what you are permitted to do in your course, your workplace, your jurisdiction, or under any agreement you have with someone else. You are solely responsible for every action you take on or through the Service and for all consequences of those actions, including:
- Everything done under your account. You are responsible for all activity under your credentials, whether or not you authorised it, unless and until you notify us that your account has been compromised (Section 2.2).
- The content you put in. You are responsible for having the right to upload, record, or submit every file, recording, document, writing sample, and prompt you give us, and for making sure doing so breaks no law, no third party's rights, and no confidentiality or contractual duty you owe.
- What you do with the output. Backrow's output is a draft for you to review. You are responsible for verifying it, for deciding whether to use it, for how you present it, and for disclosing AI assistance wherever your institution, employer, publisher, or the law requires it. See Sections 3 and 7a.
- Recording other people. You are responsible for obtaining every consent the law and your institution require before recording anyone. See Section 4.
- Connected accounts. When you connect Google, Microsoft, an LMS, or a mailbox, you are responsible for having the authority to connect it and for complying with that provider's terms and any policy your institution or employer applies to it.
- Your own compliance. You are responsible for complying with the laws that apply to you, including export controls, data protection law as it applies to other people's data you put into Backrow, and any professional or academic code you are bound by.
2a.2 What Backrow is not responsible for
Backrow is a tool provider. We are not responsible for, and expressly disclaim responsibility for, any outcome arising from your choices about how to use the tools — including academic penalties, employment consequences, disciplinary findings, liability for unlawful recording, copyright claims, breach of an agreement you are party to, or any decision you make in reliance on AI generated content. Sections 8, 9 and 10 give this legal effect.
2a.3 Accuracy is your check, not ours
AI output can be wrong, incomplete, out of date, or confidently incorrect, and transcription can mishear. We do not review output before you see it and we do not warrant that any of it is accurate or fit for the use you have in mind. Treat every output as a first draft that you must check before you rely on it, and never submit, publish, or act on it without doing so.
Nothing in this section takes away rights you cannot waive. If you are a consumer, your mandatory statutory rights — including the withdrawal, conformity, and remedy rights in Sections 6.6 and 12.5, and the liability carve-outs in Section 9 — apply regardless of anything said here.
3. Responsible Use of AI Generated Content
Backrow generates and processes coursework style content. Schools have widely varying policies on the use of AI assistance; what's encouraged in one class may be a violation in another. You alone are responsible for ensuring that your use of Backrow complies with the policies that apply to you.
3.1 Capabilities
The Service may, depending on the tool and your prompts:
- Generate complete written work (essays, discussion responses, lab reports, code, paraphrases) based on prompts and source material you provide
- Rewrite AI generated or other text in a style modelled on a writing sample you provide
- Transcribe audio and produce notes, summaries, flashcards, quizzes, study guides, and mind maps
- Answer subject matter questions with explanations, worked steps, and references
- Read content you connect from Google Calendar, Google Drive, Gmail, Outlook Calendar, and similar integrations
Output may contain errors, omissions, or content that is unsuitable for submission. You must review and verify all output before relying on it for any purpose.
3.2 Your obligations
- Follow your school's AI use policy. If your syllabus, instructor, or institution prohibits, restricts, or requires disclosure of AI assistance, those rules govern your use. We make no representation that any specific use of Backrow is permitted in your courses.
- Cite when required. Where your institution or assignment requires disclosure of AI assistance, you must provide that disclosure.
- Comply with recording laws. Recording laws vary by jurisdiction; some require all party consent. See Section 4.
- Respect copyright. Do not upload or generate content that infringes third party rights, and do not redistribute copyrighted course materials.
- No use during prohibited assessments. Do not use Backrow during an exam, quiz, or assessment where its use is prohibited.
3.3 Our role
Backrow is a tool provider, not an enforcer of any school's academic integrity policy. We do not review your use of the Service for compliance with your institution's rules, we do not certify that any particular use is permitted, and we will not act as your representative in any academic integrity proceeding.
We do not proactively report users to schools. We will respond to lawful legal process (subpoenas, court orders, and similar valid legal demands) as required by law.
3.4 What we may suspend or terminate
We may suspend or terminate accounts for fraud, abuse of the Service, unpaid balances, violations of these Terms, or activity that creates legal risk for Backrow or other users (see Section 11). We do not suspend accounts based on a school's academic integrity allegations unless we receive a binding legal order to do so.
Risks you bear directly:
- Academic consequences if your school determines you violated its AI policy
- Civil or criminal liability for unauthorised recording in two party consent jurisdictions
- Copyright liability for uploading or redistributing protected material without permission
- Loss of scholarships, financial aid, or admissions standing arising from any of the above
Backrow is not liable for any of these outcomes. See Sections 8, 9, and 10.
4. Audio Recording & Consent
Legal notice: recording laws
Recording laws vary by jurisdiction. Some states and countries require all parties' consent to record conversations. You are responsible for complying with all applicable laws.
Before recording, you must:
- Obtain permission from your instructor or professor
- Inform all participants they are being recorded
- Comply with your institution's recording policies
- Follow local, state, and federal recording laws
- Use recordings solely for personal educational purposes
By using the recording feature, you irrevocably represent and warrant that you have obtained all consents required by federal, state, provincial, and institutional law for every party whose voice or image is captured. You agree to indemnify and defend Backrow against any claim arising from your failure to do so (see Section 10).
5. Intellectual Property Rights
5.1 Your content
You retain ownership of all content you create or upload to the Service ("Your Content"), including notes, annotations, audio recordings, and comments you post. You grant us a worldwide, nonexclusive, royalty free license to use, store, and process Your Content solely to provide and improve the Service.
5.2 AI generated content
Content generated by our AI features is provided "as is" for your personal use. Ownership of AI generated content may be subject to the policies of our AI providers. You should not assume exclusive ownership of AI outputs.
5.3 Our property
The Service, including its design, features, software, and branding, is owned by Elesaad Industries LLC (trading as Backrow) and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.
5.4 Third party content
Lecture content, course materials, and educational resources may be owned by instructors, institutions, or publishers. You must respect these rights and use such content only as permitted by law and institutional policy.
5.5 Copyright complaints (DMCA)
If you believe content available through the Service infringes your copyright, see our DMCA Policy for our designated agent and the notice and takedown procedure under 17 U.S.C. §512.
6. Subscription & Payment Terms
6.1 Subscription plans
- Free plan with limited features
- Paid plans (Starter, Scholar, Pro, Max) with expanded AI capabilities, billed monthly or annually
- Promotional codes are honoured at checkout where one is active and applies to your plan
6.2 Billing
- Subscriptions are billed monthly or annually in advance
- Prices are shown in your local currency where supported, and taxes (VAT, GST, sales tax) are calculated and displayed at checkout based on your billing address
- Price changes will be communicated at least 30 days in advance, and take effect only from your next renewal — never mid-term
- Payments are processed securely through Stripe
- We do not store your full credit card information
6.3 Automatic renewal — what you are agreeing to
- Your subscription renews automatically at the end of each billing period until you cancel.
- How often, and how much: monthly plans renew every month and annual plans every 12 months, at the price shown on the checkout page for your plan, plus any applicable tax. The exact amount and date are shown before you pay and in your receipt.
- We charge the payment method you saved at checkout, on the renewal date, without asking again.
- You can cancel at any time in account settings, in the same number of steps it took to subscribe, with no phone call and no email required. See 6.5.
- Annual plans: your renewal date and amount are shown in your billing settings at any time, and on the receipt for every payment. We do not currently send a separate reminder email before an annual renewal, so please note the date if you want to decide before it comes round. You can cancel at any point up to the renewal and keep access until the period ends.
This disclosure is provided under California's Automatic Renewal Law (Bus. & Prof. Code § 17600 et seq.), the FTC's Negative Option Rule, and equivalent rules elsewhere.
6.4 Refunds
We offer a 14 day money back guarantee for new subscriptions. After 14 days, subscriptions are nonrefundable except as required by law. Refund requests go to support@backrow.ai.
Credits are consumed as you use AI features. Unused credits from a cancelled plan are not refunded for cash, and credit packs are consumed on the same basis. If a generation fails through our fault, the credits for it are returned to your balance automatically.
6.5 Cancellation
You may cancel at any time from account settings. Cancellation takes effect at the end of your current billing period; you keep access until then, and we do not pro-rate the remainder of a period you have already paid for (except where 6.6 or local law requires it). Deleting your account also cancels any active subscription.
6.6 EU, EEA, UK and Swiss consumers: your 14 day right of withdrawal
If you are a consumer resident in the EU, EEA, UK, or Switzerland, you have a statutory right to withdraw from your purchase within 14 days of entering the contract, without giving any reason and without penalty (Consumer Rights Directive 2011/83/EU Arts. 9–16; UK Consumer Contracts Regulations 2013).
- How to withdraw: email support@backrow.ai with the words "I withdraw from my contract" and your account email. Any clear statement works; you do not have to use a form.
- Refund: we refund all payments received, in full, using the same payment method, within 14 days of receiving your withdrawal notice.
- We do not deduct anything for what you used. A trader may only charge a proportionate amount for use during the withdrawal period if the consumer made an express prior request to begin performance (CRD Art. 14(4)(b)). We do not ask you for that request at checkout, so we do not make that deduction. If you withdraw within 14 days you get everything back, whatever you consumed in the meantime.
- We do not take the Art. 16(m) waiver. The withdrawal right can be extinguished for digital content where the consumer expressly consents to immediate supply and acknowledges losing the right. We do not ask for that acknowledgment on anything we sell, so your 14 day right survives in full on every purchase — subscriptions and any credit add-on alike. A previous version of these Terms described such a checkout step; it did not exist, and this paragraph replaces it.
This right sits alongside our 14 day money back guarantee in 6.4 — whichever is more favourable to you applies, and nothing in these Terms limits your statutory rights or your remedies for content that is not as described.
7. Prohibited Conduct
You agree not to:
- Violate any laws, regulations, or third party rights
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Upload viruses, malware, or malicious code
- Scrape, data mine, or harvest information from the Service
- Use automated tools (bots, scrapers) without permission
- Impersonate others or provide false information
- Harass, abuse, or harm other users
- Share or resell access to the Service
- Remove or obscure any proprietary notices
- Use the Service to develop competing products
- Share course materials in violation of copyright
- Circumvent usage limits or restrictions
7a. AI Transparency
Backrow is an AI system, and we want that to be unambiguous rather than buried.
- You are interacting with AI, not a person. Rowly, the AI tutor, the note and study material generators, the writing tools, and the chat surfaces are all automated. No human reads your conversation in order to answer it.
- Output is synthetic. Text, images, audio narration, and video that Backrow produces are generated by machine learning models. They can be wrong, dated, or confidently incorrect, and they are not a substitute for your own reading and judgement.
- Synthetic media is identifiable. Images you export from Backrow carry a visible Backrow watermark, and video generated through Google's Veo models carries Google's SynthID watermark. We do not yet embed C2PA content credentials in every generated file; we will state it here when we do, rather than implying it now.
- Which models. We route requests to third party model providers listed in our Subprocessors page. The provider handling a given request depends on the feature and can change.
- Disclose it where you must. If you submit Backrow output as your own work, whether that is permitted, and whether it must be declared, is governed by your institution's rules — see Section 3.
These disclosures reflect the transparency obligations in Article 50 of the EU AI Act (Regulation (EU) 2024/1689), which apply from 2 August 2026. Backrow does not perform emotion recognition, biometric categorisation, or social scoring, and none of its features fall within the AI Act's prohibited practices or its high risk categories.
8. Disclaimers & Limitations
Important legal notice
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
8.1 Service availability
- We do not guarantee uninterrupted or error free service
- The Service may be unavailable during maintenance or outages
- AI generated content may contain errors or inaccuracies
- Transcription accuracy is not guaranteed
8.2 Educational disclaimer
We are not an educational institution and do not provide academic advice or tutoring services. The Service is a tool to assist your learning, not a replacement for instruction, studying, or critical thinking.
8.3 AI limitations
AI generated content is created by machine learning models and may be incorrect, biased, or inappropriate. Always verify AI outputs with authoritative sources. We are not responsible for decisions made based on AI generated content.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:
- Loss of profits, data, or academic standing
- Business interruption or loss of goodwill
- Academic penalties resulting from Service misuse
- Damages arising from unauthorized access to your account
- Reliance on AI generated or transcribed content
- Violations of recording laws or institutional policies
Our total liability shall not exceed the amount you paid us in the 12 months prior to the event giving rise to liability, or $100, whichever is greater.
9.1 What we never limit
Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- gross negligence or wilful misconduct;
- any other liability that cannot lawfully be excluded or limited under the law that applies to you.
The cap above applies only to liability that can lawfully be capped. If a court finds any part of Section 9 unenforceable against you, the rest of Section 9 still applies to the extent the law allows, and the excluded liability is simply uncapped.
We state this expressly because a term purporting to exclude liability for death or personal injury caused by negligence is automatically void against consumers (UK Consumer Rights Act 2015 s. 65; Directive 93/13/EEC Annex 1(a)), and a cap drafted without this carve-out risks being struck down wholesale rather than read down.
10. Indemnification
You agree to indemnify, defend, and hold harmless Backrow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Violation of these Terms
- Violation of any law or third party rights
- Your Content or recordings
- Academic dishonesty or plagiarism
- Unauthorized recording of lectures or individuals
11. Termination
11.1 By you
You may terminate your account at any time by contacting support or using the account deletion feature in settings.
11.2 By us, for cause
We may suspend or terminate your access immediately, and where necessary without prior notice, for any of the following specific reasons:
- Violation of these Terms, including the prohibited conduct in Section 7
- Fraudulent or illegal activity, or activity that creates legal risk for Backrow or other users
- Nonpayment of subscription fees after a failed payment and the retry window has elapsed
- Risk to the security, integrity, or availability of the Service
- A binding order from a court or competent authority requiring it
Where we terminate for cause and you had prepaid for a period you can no longer use, we do not refund the remainder, except where local law requires it.
11.3 By us, for convenience
We may also stop offering the Service to you for reasons that are not your fault — for example if we discontinue a plan, exit a market, or shut the Service down. When we do:
- we give you at least 30 days' notice by email;
- you keep access for the notice period; and
- we refund the unused portion of anything you have prepaid, pro rata.
We cannot terminate for convenience with immediate effect and keep your money. The previous version of these Terms permitted immediate termination "at our discretion for any reason" with no refund, which is a presumptively unfair term against consumers (Directive 93/13/EEC Annex 1(f)–(g)) and is replaced by this section.
11.4 Your right to an explanation and to challenge it
If we suspend or terminate your account, or remove content you posted, we will tell you which specific ground in 11.2 we relied on and the facts we relied on, unless a legal order forbids us from doing so. You may contest the decision by replying to that notice or writing to support@backrow.ai; a human reviews the challenge, and we will respond within 14 days. If you are in the EU, this statement of reasons is provided under Article 17 of the Digital Services Act (Regulation (EU) 2022/2065) and does not limit your right to go to court or to an out of court dispute settlement body.
11.5 Effect of termination
Upon termination, your right to use the Service ceases. You can export your content before the account closes, and after closure we hold it for the period stated in the Privacy Policy before deletion, so an appeal is not defeated by the data already being gone. Provisions that should survive termination (including indemnification, disclaimers, and liability limitations) will remain in effect.
12. Dispute Resolution & Arbitration
Important: arbitration agreement
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
12.1 Informal resolution
Before filing a claim, you agree to contact us at legal@backrow.ai to attempt to resolve the dispute informally for at least 30 days.
12.2 Binding arbitration (United States residents)
This section applies only if you are resident in the United States. If you are a consumer resident anywhere else, arbitration and the class action waiver do not apply to you at all — see 12.5, which governs.
If informal resolution fails, you agree that disputes will be resolved through binding arbitration, not in court, except for:
- Small claims court matters (under jurisdictional limits)
- Intellectual property disputes
- Requests for injunctive relief
- Claims for public injunctive relief brought under California law (per McGill v. Citibank, N.A., 393 P.3d 85 (Cal. 2017)), which may be pursued in court if and to the extent required by applicable law
12.3 Class action waiver (United States residents)
Also limited to US residents, on the same basis as 12.2. YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
12.4 Governing law
These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Sharjah, without regard to conflict of law principles — subject to 12.5.
12.5 Consumers outside the United States
If you are a consumer who does not reside in the United States, the following overrides 12.1 to 12.4 to the extent they conflict:
- The arbitration agreement and class action waiver do not apply to you. You may bring proceedings in court.
- You keep your home courts. You may sue us in the courts of the country where you live, and we will only sue you there.
- Your local consumer law still protects you. Nothing here deprives you of the mandatory protections of the law of your country of residence, including your statutory rights of withdrawal (Section 6.6), conformity, and remedy, the liability carve-outs in Section 9.1, the notice and pro rata refund on termination for convenience (Section 11.3), the statement of reasons in Section 11.4, and your right to reject a change to these Terms (Section 13.2).
- Unfair terms are void, not merely severable. If any provision of these Terms would be unfair under Directive 93/13/EEC or its national equivalents, it does not bind you.
We say this explicitly because a US-only arbitration and class waiver clause is unenforceable against EU, EEA, and UK consumers, and relying on one would itself be an unfair term.
13. General Provisions
13.1 Entire agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Backrow.
13.2 Changes to these Terms
We may need to change these Terms — to reflect a new feature, a change in the law, or a change in how the Service works. When we do, the following applies.
- Notice. We give you at least 30 days' notice of any material change by email and in app, and we say what is changing rather than only that something changed. Non-material changes (typos, clarifications, updated links) take effect on posting.
- No mid term surprises. A material change takes effect for you at your next renewal, not during a period you have already paid for.
- You can say no. If you do not accept a material change, you may reject it by cancelling before it takes effect. In that case we refund the unused portion of your current period pro rata and the old Terms govern until then. You are never forced to choose between accepting new terms and losing money you have already paid.
- Continued use. If you keep using the Service after a material change has taken effect, having received notice and had the chance to reject it, that counts as acceptance.
This mirrors the structure already used for price changes in Section 6.2. A clause allowing us to change the contract unilaterally with "continued use constitutes acceptance" and no exit is presumptively unfair against consumers under Directive 93/13/EEC Annex 1(j)–(k), which would leave every change unenforceable — worse for both of us than giving you a real choice.
13.3 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
13.4 Waiver
Failure to enforce any provision does not constitute a waiver of that provision.
13.5 Assignment
You may not assign or transfer these Terms. We may assign our rights without restriction.
13.6 Force majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control.
